Announcement on the Replacement of Company Director

Hainan Shennong Agricultural Technology Co., Ltd. (hereinafter referred to as "the Company") and all members of the board of directors guarantee that the content of this announcement is true, accurate, and complete, without any false records, misleading statements, or significant omissions. Due to work arrangements, Ms. Cao Oujie, the controlling shareholder of the Company, intends to replace Ms. Wu Juan with Mr. Zhou Zhiyuan as the director appointed to the Company, nominating Mr. Zhou Zhiyuan as a candidate for the non-independent director of the eighth board of directors (resume attached). After stepping down as a director, Ms. Wu Juan will continue to serve as the Chief Financial Officer of the Company. As of the date of this announcement, Ms. Wu Juan does not hold any shares in the Company and has no unfulfilled commitments. During her tenure as a director, Ms. Wu Juan has been diligent and responsible, and the Company and the board express their heartfelt gratitude for her contributions to the Company's development.
