I. Transaction Overview
To seize development opportunities in cutting-edge fields such as embodied intelligence, relying on the resources and professional advantages of professional investment institutions, Shenzhen Lehman Optoelectronics Co., Ltd. (hereinafter referred to as "the Company") intends to jointly invest with professional investment institution Yinbo Iteration Private Fund Management (Shanghai) Co., Ltd. (hereinafter referred to as "Yinbo Iteration") and other partners in the Shanghai Yinbo Iteration Silicon-based Venture Capital Partnership (Limited Partnership) (hereinafter referred to as "the Industrial Fund" or "the Partnership"). The Industrial Fund aims to raise a total of RMB 300 million. As of the date of this announcement, the total subscribed capital of the Industrial Fund is RMB 129.2 million. The Company plans to invest RMB 5 million as a limited partner, accounting for 1.67% of the total fundraising target. According to the relevant provisions of the Articles of Association of Shenzhen Lehman Optoelectronics Co., Ltd. and the General Manager's Work Rules, this investment amount is within the approval authority of the Company's general manager and does not require submission to the Board of Directors or the shareholders' meeting for approval.
