Wuhan Huazhong Numerical Control Co., Ltd. (hereinafter referred to as the "Company") convened the seventh meeting of the Thirteenth Board of Directors on June 22, 2026. The meeting deliberated and approved the "Proposal on Supplementary Pledge Guarantee for Bank Loans by Wholly-owned Subsidiary Ezhou Huazhong Numerical Control". It was agreed that the wholly-owned subsidiary Wuhan Huazhong Numerical Control Ezhou Co., Ltd. (hereinafter referred to as "Ezhou Huazhong") will pledge two invention patents under its name to provide supplementary collateral for a RMB 180 million bank loan from the Honglian Lake Development Zone Branch of Hubei Ezhou Rural Commercial Bank Co., Ltd. (hereinafter referred to as "Ezhou Rural Commercial Bank Honglian Lake Development Zone Branch") to Ezhou Huazhong.
In accordance with the "Rules Governing the Listing of Stocks on the Growth Enterprise Market of the Shenzhen Stock Exchange" and the "Articles of Association" of the Company, this proposal does not require submission to the Company's general meeting of shareholders for deliberation.
I. Overview of Supplementary Guarantee
The Company's fifth extraordinary general meeting of shareholders in 2025 deliberated and approved the "Proposal on Intending to Provide Guarantee for Bank Loans Applied for by Wholly-owned Subsidiary Ezhou Huazhong". It was agreed that the Company would provide a full joint liability guarantee for Ezhou Huazhong's application for a RMB 180 million project loan from Ezhou Rural Commercial Bank Honglian Lake Development Zone Branch. Concurrently, Ezhou Huazhong would provide mortgage guarantee for this loan using its property and project land. For specific details, please refer to the relevant announcement disclosed by the Company on Juchao Information Network on July 3, 2025 (Announcement No.: 2025-069).
As requested by Ezhou Rural Commercial Bank Honglian Lake Development Zone Branch, two invention patents under the name of Ezhou Huazhong (Patent Nos.: ZL202210262284.6 and ZL202311245640.4) are to be added as pledge collateral, based on the existing guarantee. This does not involve any substantive changes to the scope of the guarantee, the guaranteed amount, or the guarantee period.
