Important Reminders:
● On April 29, 2026, the Company disclosed the "Announcement on the Company's Shares Being Subject to Delisting Risk Warning and Continued Application of Other Risk Warnings and Suspension of Trading." Since the opening of trading on April 30, 2026, the Company's shares have been subject to a delisting risk warning. If the Company encounters circumstances stipulated in Article 10.4.18(VI) of the "Shenzhen Stock Exchange ChiNext Stock Listing Rules (2026 Revision)," its shares face the risk of delisting.
● The Company's net profit after deducting non-recurring items was negative for the last three consecutive fiscal years. Furthermore, the 2025 audit report issued by Tianjian Certified Public Accountants (Special General Partnership) included a statement expressing substantial doubt about the Company's ability to continue as a going concern. According to Article 9.4(VI) of the "Shenzhen Stock Exchange ChiNext Stock Listing Rules (2026 Revision)," if "the net profit after deducting non-recurring items is negative for the last three consecutive fiscal years, and the audit report for the most recent fiscal year indicates substantial doubt about the Company's ability to continue as a going concern," the Company's shares will continue to be subject to other risk warnings.
● According to Article 10.4.10 of the "Shenzhen Stock Exchange ChiNext Stock Listing Rules," if a listed company triggers the circumstances in Article 10.4.1(VI) and its shares are subject to a delisting risk warning, the Company shall disclose a risk warning announcement on the potential delisting of its shares every month. Within one month after the end of the fiscal year in which its shares are subject to a delisting risk warning, the Company shall disclose a risk warning announcement on the potential delisting of its shares. Furthermore, from the first disclosure of the risk warning announcement in that month until the disclosure of the internal control audit report for that year, a risk warning announcement shall be disclosed every ten trading days. This announcement is the Company's fourth risk warning announcement. We kindly remind investors to invest rationally and be aware of the risks.
I. Reasons for Potential Delisting of Company Shares
On April 29, 2026, Xiongan New Energy Technology Co., Ltd. disclosed the "Announcement on the Company's Shares Being Subject to Delisting Risk Warning and Continued Application of Other Risk Warnings and Suspension of Trading" (Announcement No.: 2026-029). The 2025 financial report's internal control was issued a negative opinion by Tianjian Certified Public Accountants (Special General Partnership), and the 2024 financial report's internal control was issued a negative opinion by Zhongxing Caiguanghua Certified Public Accountants (Special General Partnership). According to Article 10.4.1(VI) of the "Shenzhen Stock Exchange ChiNext Stock Listing Rules (2026 Revision)," if "the financial report's internal control is issued a disclaimer of opinion or a negative opinion for two consecutive fiscal years, or if the internal control audit report is not disclosed as required," the Company's shares will be subject to a delisting risk warning.
