Tongdan Health Co., Ltd. (hereinafter referred to as the "Company") held the tenth meeting of the tenth special meeting of independent directors of the sixth board of directors and the twenty-second meeting of the sixth board of directors on June 18, 2026. The non-connected directors attending the meeting unanimously approved the "Proposal on External Investment and Connected Transactions." The relevant matters are hereby announced as follows:
I. Overview of External Investment and Connected Transactions
On June 18, 2026, the Company signed an investment agreement to invest RMB 50 million of its own funds in Yuanli (Beijing) Semiconductor Technology Co., Ltd. (hereinafter referred to as the "Target Company"). Upon completion of this investment, the Company will hold a 0.97% equity interest in the Target Company.
As Ms. Lai Xiaohua, the spouse of Mr. Liang Chaichao, the Chairman of the Company, indirectly holds equity in the Target Company, according to the "Rules Governing the Listing of Stocks on the ChiNext Market of the Shenzhen Stock Exchange" and "Shenzhen Stock Exchange Listed Company Self-Regulatory Guidelines No. 7 - Connected Transactions," this investment constitutes a connected transaction.
This transaction does not constitute a major asset restructuring as defined by the "Measures for the Administration of Major Asset Restructuring of Listed Companies"; this transaction does not require submission to the shareholders' meeting for deliberation and does not require approval from relevant authorities.
