Independent Director's 2025 Annual Performance Report
To the Shareholders and Shareholder Representatives:
As an independent director of Nanfang Pump Industry Co., Ltd. (hereinafter referred to as the "Company"), during my tenure in 2025, I strictly followed the "Company Law of the People's Republic of China" (hereinafter referred to as the "Company Law"), the "Management Measures for Independent Directors of Listed Companies," and other laws, regulations, and the "Articles of Association" and "Independent Director Work System" and other internal regulations. I diligently performed my duties, actively participated in corporate governance, attended board and special committee meetings on time, carefully reviewed various proposals and related materials, actively participated in discussions, and offered professional opinions. I am committed to promoting the scientific and standardized decision-making of the Company and safeguarding the legitimate rights and interests of the Company and all shareholders. The following is a report on the specific matters of fulfilling my duties as an independent director in 2025:
I. Basic Information
Male, born in 1966, Chinese national, with no permanent overseas residency. I hold a Ph.D. in Management from Zhejiang University and am a professor at the Business School of Soochow University. I am a postgraduate and MBA supervisor in Business Management and a postdoctoral mentor. I am also a quality expert in Jiangsu Province and a project review expert for the Jiangsu Provincial Department of Science and Technology, the Shanghai Municipal Science and Technology Commission, the Jiangxi Provincial Department of Science and Technology, and the Suzhou Municipal Bureau of Industry and Information Technology. I am also a review expert for the Provincial Governor's Quality Award and the Mayor's Quality Award. I have served as the Director of the Business Management Department, Assistant Dean, and Deputy Director of the Urban and Rural Planning Research Center of Soochow University. I am currently a member of the Academic Committee of the Business School of Soochow University. I have served as an independent director of the Company since April 8, 2022.
