Special Verification Opinion of Zhejiang Merchants Securities Co., Ltd. on Abnormal Performance Before the Restructuring of Shenzhen Yingtang Intelligent Control Co., Ltd.

Shenzhen Yingtang Intelligent Control Co., Ltd. (hereinafter referred to as "the Company" or "the Listed Company") intends to issue shares and pay cash to acquire 100% equity of Guilin Guanglong Integrated Technology Co., Ltd. and 100% equity of Shanghai Aojian Microelectronics Technology Co., Ltd., and to raise supporting funds (hereinafter referred to as "this transaction"). Zhejiang Merchants Securities Co., Ltd. (hereinafter referred to as "Zhejiang Merchants Securities" or "Independent Financial Advisor") has been entrusted by the listed company to act as the independent financial advisor for this transaction. As the independent financial advisor for this transaction, Zhejiang Merchants Securities has issued this special verification opinion in accordance with the relevant provisions of the "Guidelines for the Application of Regulatory Rules - Listed Companies No. 1" issued by the China Securities Regulatory Commission (hereinafter referred to as "CSRC") in July 2020. The abbreviations and definitions cited in this special verification opinion, unless otherwise specified, are the same as those in the "Report on the Issuance of Shares and Payment of Cash for Asset Acquisition and Fund Raising and Related Transactions (Draft)" of Shenzhen Yingtang Intelligent Control Co., Ltd.
