Pursuant to the authorization of the 2025 Annual Shareholders' Meeting, Shenzhen Newland Co., Ltd. (hereinafter referred to as the Company or Newland) held the first meeting of the Seventh Remuneration and Assessment Committee and the first meeting of the Seventh Board of Directors on June 22, 2026. The proposal "Proposal on Granting Stock Options to Incentive Grantees under the 2026 Stock Option Incentive Plan" was reviewed and approved. The Board of Directors believes that the conditions for granting stock options stipulated in the 2026 Stock Option Incentive Plan (hereinafter referred to as the current incentive plan or this incentive plan) have been met. It is agreed that June 22, 2026, shall be the grant date, and a total of 12 million stock options will be granted to 83 eligible incentive grantees. The Company held the 24th meeting of the Sixth Board of Directors on May 29, 2026, which reviewed and approved the "Proposal on the Draft and Summary of the 2026 Stock Option Incentive Plan," the "Proposal on the Performance Assessment Methods for the Implementation of the 2026 Stock Option Incentive Plan," and the "Proposal on Authorizing the Board of Directors to Handle Matters Related to the 2026 Stock Option Incentive Plan." The Company's Remuneration and Assessment Committee reviewed the list of incentive grantees for the 2026 Stock Option Incentive Plan and issued its review opinion.
