I. Overview of Connected Transactions
Richi Holdings Co., Ltd. (hereinafter referred to as the "Company") deliberated and approved the "Proposal on Jointly Investing in the Establishment of a Joint Venture Company and Connected Transactions" at the 6th Board of Directors meeting held on January 22, 2025. The company agreed to jointly invest with connected parties Mr. Wu Mingting, Shanghai Kappa Enterprise Management Partnership (Limited Partnership), and Shanghai Luomeng Enterprise Management Partnership (Limited Partnership) to establish Luxi Robotics Technology (Shanghai) Co., Ltd. (hereinafter referred to as "Luxi Company"), which will primarily engage in the field of lawnmower robots and related technologies. The registered capital of the joint venture company is RMB 10 million. The company will contribute RMB 450,000 in cash from its own funds, holding a 4.50% equity interest.
