(hereinafter referred to as the "Company") intends to use its own funds or self-raised funds of RMB 65.865 million to acquire 30.00% of the equity of Tianjin China Supply Chain Management Co., Ltd. (hereinafter referred to as "China Supply Chain" or the "Target Company") held by Ruipai Pet Hospital Management Co., Ltd. (hereinafter referred to as "Ruipai Pet Hospital").
- This transaction constitutes a related party transaction and does not constitute a major asset restructuring as defined by the "Administrative Measures for Major Asset Restructuring of Listed Companies," nor does it constitute a restructuring of the listed company. No approval from relevant departments is required. In accordance with the "Shenzhen Stock Exchange GEM Stock Listing Rules" and the "Articles of Association," this related party transaction does not require submission to the Company's shareholders' meeting for review. It was reviewed and approved by the fifth (interim) meeting of the sixth Board of Directors on June 10, 2026.

I. Overview of Related Party Transactions (I) Transaction Content To continuously promote the implementation of the pet health industry strategy, further deepen the company's comprehensive layout in the pet sector, consolidate control over core channel platforms, fully leverage the synergistic effects of products and channels, and comprehensively enhance the overall operating strength and market competitiveness of the pet sector. On June 10, 2026, the Company signed the "Equity Transfer Agreement" with Ruipai Pet Hospital and China Supply Chain in Tianjin. The Company intends to use its own funds or self-raised funds of RMB 65.865 million to acquire 30.00% of the equity of China Supply Chain held by Ruipai Pet Hospital (hereinafter referred to as the "Target Equity"). Upon completion of this transaction, the Company will hold 86.00% of the equity of China Supply Chain. According to the "Asset Valuation Report on the Entire Equity Interest of Tianjin China Supply Chain Management Co., Ltd. Involved in the Equity Transfer by Ruipai Pet Hospital Management Co., Ltd." (Yinxin Ping Bao Zi (2026) No. B00099) issued by Yinxin Asset Appraisal Co., Ltd. (hereinafter referred to as the "Asset Valuation Report"), the valuation using the income approach indicates that the equity value attributable to the parent company's shareholders of China Supply Chain as of the valuation base date of December 31, 2025, is RMB 220.90 million. The corresponding valuation of the target equity is RMB 66.27 million. After friendly negotiation among all parties, the transaction price for the acquisition of 30.00% of the equity of China Supply Chain was finally determined to be RMB 65.865 million.
(II) Related Party Relationship Ruipai Pet Hospital is an enterprise actually controlled by Mr. Li Shoujun, the Chairman of the Company. The Company directly holds a 9.09% equity interest in Ruipai Pet Hospital. In accordance with Article 7.2.3 of the "Shenzhen Stock Exchange GEM Stock Listing Rules" and the "Articles of Association," Ruipai Pet Hospital is a related legal person of the Company, and this transaction constitutes a related party transaction.
