Announcement on the Completion of Certain Fundraising Investment Projects
Baoli New Energy Technology Co., Ltd. (hereinafter referred to as "Baoli New" or "the Company") held the sixth meeting of the sixth board of directors, the fifth meeting of the sixth supervisory board, and the fifth special meeting of independent directors on June 25, 2024, to review and approve the proposal on the completion of certain fundraising investment projects. The board agreed to conclude the "Baoli New (Inner Mongolia) Battery Co., Ltd. Special Upgrade Project" funded by the stock issuance to specific targets. According to relevant regulations, this matter does not require submission to the shareholders' meeting for approval. The relevant information is announced as follows:
I. Basic Situation of Fundraising
With the approval of the China Securities Regulatory Commission regarding the registration of Baoli New Energy Technology Co., Ltd. for stock issuance to specific targets (Zheng Jian Xu Ke [2022] No. 373), the company has issued 144,508,670 ordinary shares at a price of RMB 1.73 per share to 12 specific targets, including the actual controller of the company, Ms. Gao Baoqing. The total amount raised was RMB 249,999,999.10. After deducting underwriting fees, sponsorship fees, and other issuance expenses of RMB 17,400,951.57 (excluding VAT), the net amount raised was RMB 232,599,047.53. The sponsoring institution transferred the net amount to the company's designated special storage account for this fundraising on April 22, 2022, after deducting relevant sponsorship and underwriting fees. The arrival of the above fundraising has been verified by Lianda Accounting Firm (Special General Partnership) in the "Verification Report of Baoli New Energy Technology Co., Ltd." (Lianda Verification [2022] No. B2004) issued on April 25, 2022. The funds raised will be invested in the following projects after deducting issuance expenses:
