Easy Holding Information Technology Co., Ltd. (hereinafter referred to as the "Company") received the "Notice of Filing Investigation" (No.: JZJZ-0282024004) issued by the China Securities Regulatory Commission (hereinafter referred to as the "CSRC") on May 8, 2024. Due to the Company's suspected violation of information disclosure rules, such as failing to disclose guarantees provided to related parties as required, the CSRC has decided to file a case for investigation in accordance with the "Securities Law of the People's Republic of China," "Administrative Penalty Law of the People's Republic of China," and other laws and regulations. For specific details, please refer to the "Announcement on Receiving the Notice of Filing Investigation from the China Securities Regulatory Commission" (Announcement No.: 2024-027) disclosed by the Company on the Juchao Information Network on May 8, 2024.
On June 12, 2026, the Company received the "Notice of Prior Administrative Penalty" (No.: Xiamen CSRC Penalty [2026] No. 5) issued by the CSRC Xiamen Bureau. The relevant situation is hereby announced as follows:
I. Main Content of the "Notice of Prior Administrative Penalty"
Easy Holding Information Technology Co., Ltd., Zhang Xi, Zhang Huafang, Huang Wencan, Chen Donghong:
The case of suspected information disclosure violations by Easy Holding Information Technology Co., Ltd. (hereinafter referred to as Easy Holding or the Company) and Zhang Xi has been investigated by this bureau. This bureau intends to impose administrative penalties on you. The facts of the violations, reasons, basis for the proposed administrative penalties, and your relevant rights are hereby informed.
Upon investigation, the facts of the suspected violations are as follows:
- Easy Holding failed to disclose timely guarantees provided to related parties, and relevant periodic reports contained major omissions.
Zhang Xi was the controlling shareholder and actual controller of Easy Holding. In October 2018, Zhang Xi privately used Easy Holding's name to provide a guarantee for a loan of RMB 550 million from Zhang Liyun to Zhang Xi and his related party Beijing Jingfa Real Estate Development Co., Ltd. (hereinafter referred to as Jingfa Real Estate). The guarantee amount accounted for 71.61% of Easy Holding's net assets as audited in 2017, constituting a guarantee for a related party. In May and June 2020, Zhang Xi again privately used Easy Holding's name to provide guarantees for the remaining debt balance of RMB 542 million and RMB 555 million (after deducting debt offsets), respectively. The guarantee amounts accounted for 62.02% and 63.52% of Easy Holding's net assets as audited in 2019, respectively. In August 2024, the Beijing Arbitration Commission made an award, ruling that Easy Holding was not liable for the guarantee.
The aforementioned guarantees had year-end balances in the Company's 2018-2022 annual reports and the 2023 interim report of RMB 5.43 billion, RMB 5.90 billion, RMB 5.35 billion, RMB 4.94 billion, RMB 5.64 billion, and RMB 5.99 billion, respectively, accounting for 65.15%, 67.46%, 58.94%, 63.85%, 142.66%, and 179.65% of Easy Holding's disclosed net assets for the respective periods.
According to Article 67, Paragraph 1, Items 1 and 3 of the "Securities Law of the People's Republic of China" (Revised in 2005, hereinafter referred to as the 2005 "Securities Law") and Article 80, Paragraph 1, Items 1 and 3 of the "Securities Law of the People's Republic of China" (Revised in 2019, hereinafter referred to as the "Securities Law"), Easy Holding should have disclosed the above guarantee matters in a timely manner, but the Company only disclosed them on November 28, 2023.
