I. Overview of the Subsidiary's Bankruptcy Liquidation Event
Jiangxi Huawu Motion Technology Co., Ltd. (hereinafter referred to as the "Company")'s holding subsidiary, Changsha Tianying Aviation Equipment Co., Ltd. (hereinafter referred to as "Changsha Tianying"), has been unable to fully repay its due debts and was applied for bankruptcy liquidation by creditor Hunan Tianzhijie Mechanical Manufacturing Partnership (Limited Partnership). The Intermediate People's Court of Wangcheng District, Changsha City, Hunan Province (hereinafter referred to as the "Wangcheng District Court") has accepted the bankruptcy liquidation case of Changsha Tianying. On January 19, 2026, Changsha Tianying received the "Decision" (No. [2025] Xiang 0112 Po 20) served by the Wangcheng District Court. Through a public lottery procedure, in accordance with Articles 13 and 22 of the "Enterprise Bankruptcy Law of the People's Republic of China," Hunan Fangzhe Law Firm was appointed as the administrator for Changsha Tianying Aviation Equipment Co., Ltd. As a creditor of Changsha Tianying, the Company has filed its claim with the administrator of Changsha Tianying, Hunan Fangzhe Law Firm. In April 2026, Changsha Tianying received the "Civil Ruling" (No. [2026] Xiang 0112 Po Shen 7) and the "Decision" (No. [2025] Xiang 0112 Po 20-1) served by the Wangcheng District Court. The Wangcheng District Court ruled to accept the application by the applicant, the administrator of Changsha Tianying, for the substantive consolidation and bankruptcy liquidation of the respondent Changsha Tianying and Changsha Tianying's holding subsidiary, Guizhou Huawu Aviation Technology Co., Ltd. (hereinafter referred to as "Guizhou Huawu"). The Wangcheng District Court appointed Hunan Fangzhe Law Firm as the administrator for the substantive consolidation and bankruptcy liquidation of Changsha Tianying and Guizhou Huawu. The administrator for both companies is collectively referred to as the administrator of Changsha Tianying Aviation Equipment Co., Ltd., with Mr. Xia Deren as the responsible person for the administration.
