I. Contract Signing Overview
Gansu Golden Solar Co., Ltd. (hereinafter referred to as the "Company") wholly-owned subsidiary, Beijing Golden Sea Smart Computing Technology Co., Ltd. (hereinafter referred to as "Golden Sea Smart Computing"), signed three "Artificial Intelligence Computing Power Technology Service Contracts" (hereinafter collectively referred to as "the Contract") with Beijing **** Technology Co., Ltd. (hereinafter referred to as "Computing Power Customer" or "Counterparty") in Beijing on July 22, 2026. Golden Sea Smart Computing will provide computing power services and related supporting facilities to the Computing Power Customer. The contract service period is 60 months, with a total contract amount of RMB 614,400,000.00 (including tax). Computing power service fees will be paid monthly.
This contract signing falls under the category of major contracts for the company's daily operations. In accordance with the "Shenzhen Stock Exchange ChiNext Stock Listing Rules" and the "Company Articles of Association," the Company convened the Eighth Board of Directors' Eighth Meeting on July 22, 2026, and deliberated and approved the "Proposal on the Signing of a Major Computing Power Service Contract by a Subsidiary." The meeting analyzed and judged the performance capabilities of the Company and the counterparty, and engaged a law firm to investigate the counterparty's background and issue a legal opinion. This contract does not require approval from the Company's shareholders' meeting, nor does it constitute a related-party transaction or a major asset restructuring as defined by the "Measures for the Administration of Major Asset Restructuring of Listed Companies."
