Hunan Qiyuan Law Firm (hereinafter referred to as "this firm") has been entrusted by Guangdong Genesis Intelligent Equipment Group Co., Ltd. (hereinafter referred to as "Genesis," "the issuer," or "the company") to act as the special legal advisor for the issuer's private placement of shares (hereinafter referred to as "this issuance"). This firm has issued the "Legal Opinion on the Private Placement of Shares by Guangdong Genesis Intelligent Equipment Group Co., Ltd." (hereinafter referred to as "the Legal Opinion"), the "Lawyer's Work Report on the Private Placement of Shares by Guangdong Genesis Intelligent Equipment Group Co., Ltd." (hereinafter referred to as "the Lawyer's Work Report"), the "Supplementary Legal Opinion (I) on the Private Placement of Shares by Guangdong Genesis Intelligent Equipment Group Co., Ltd." (hereinafter referred to as "Supplementary Legal Opinion (I)"), and the "Supplementary Legal Opinion (II) on the Private Placement of Shares by Guangdong Genesis Intelligent Equipment Group Co., Ltd." (hereinafter referred to as "Supplementary Legal Opinion (II)").
In accordance with relevant review requirements, this firm now conducts a review of the changes in the issuer's production and operational activities from the issuance of Supplementary Legal Opinion (II) to the period from July 1, 2025, to December 31, 2025 (hereinafter referred to as "the supplementary period") and issues this "Supplementary Legal Opinion (III)" (hereinafter referred to as "this Supplementary Legal Opinion"). This Supplementary Legal Opinion serves as a supplement and adjustment to the contents of the Legal Opinion, the Lawyer's Work Report, Supplementary Legal Opinion (I), and Supplementary Legal Opinion (II). For matters, relationships, or abbreviations that have not changed in the Legal Opinion, the Lawyer's Work Report, Supplementary Legal Opinion (I), and Supplementary Legal Opinion (II), this firm will not repeat descriptions or disclosures in this Supplementary Legal Opinion. Unless otherwise stated in this Supplementary Legal Opinion, the statements and interpretations made by this firm in the Legal Opinion and the Lawyer's Work Report apply to this Supplementary Legal Opinion.
This Supplementary Legal Opinion is a supplementary document to the Legal Opinion, the Lawyer's Work Report, Supplementary Legal Opinion (I), and Supplementary Legal Opinion (II) and should be used together with the Legal Opinion, the Lawyer's Work Report, Supplementary Legal Opinion (I), and Supplementary Legal Opinion (II). In case of any inconsistencies between this Supplementary Legal Opinion and the Legal Opinion, the Lawyer's Work Report, Supplementary Legal Opinion (I), and Supplementary Legal Opinion (II), this Supplementary Legal Opinion shall prevail. This Supplementary Legal Opinion is intended solely for the purpose of this issuance and may not be used for any other purpose without the written consent of this firm.
