The term "general manager" in these regulations refers to the general manager himself or other senior management personnel such as vice presidents who are legally authorized to exercise the general manager's authority externally.

The work of the general manager should adhere to the principles of integrity, diligence, legality, and efficiency.

Chapter 2 Qualifications and Dismissal of the General Manager

Article 5

The Company shall have one general manager and several vice presidents. The general manager, vice presidents, chief financial officer, and board secretary are senior management personnel appointed or dismissed by the board of directors.

Article 6

The general manager must possess the professional ethics and business competence necessary for the position. The following individuals are not eligible to serve as the general manager of the Company:

  1. Individuals without civil capacity or with limited civil capacity;
  2. Individuals who have been sentenced for embezzlement, bribery, misappropriation of property, or disruption of the socialist market economy, or who have been deprived of political rights due to criminal offenses, and whose probation period has not expired for five years;
  3. Individuals who have served as directors or managers of a company or enterprise undergoing bankruptcy liquidation and are personally responsible for the bankruptcy, within three years from the completion of the bankruptcy liquidation;
  4. Individuals who have served as legal representatives of a company or enterprise whose business license has been revoked or ordered to close due to illegal activities, and are personally responsible, within three years from the revocation or closure;
