Overview of Related Transactions
Beijing Digital Zhengtong Technology Co., Ltd. (hereinafter referred to as "the Company" or "Digital Zhengtong") expects to engage in related transactions with Tongtong Yilian (Jiangsu) Technology Co., Ltd. (hereinafter referred to as "Tongtong Yilian") due to business needs, with an estimated amount not exceeding RMB 50 million for the year 2026. On April 13, 2026, the fifth special meeting of the independent directors of the sixth board of directors and the eighth meeting of the audit committee unanimously approved the proposal on expected daily related transactions for 2026, agreeing to submit it to the board for review. On April 14, 2026, the thirteenth meeting of the sixth board of directors approved the proposal, with related party Mr. Wu Qianghua abstaining from voting. -
