Announcement on the Disposal of Equity in an Investee Company

I. Transaction Overview
Beijing BlueFocus International Media Group Co., Ltd. (hereinafter referred to as "BlueFocus" or "the Company") holds a 20% equity interest in Tomato Interactive Limited (hereinafter referred to as "Tomato Interactive", English name TOMATO INTERACTIVE LIMITED) through its wholly-owned subsidiary BlueFocus International Media Group Co., Ltd. (hereinafter referred to as "Blue Focus International"). Tomato Interactive will repurchase the 20,000 shares of paid-in ordinary shares held by Blue Focus International for RMB 38.7 million, representing 20% of Tomato Interactive's share capital. After this transaction, the Company's net profit attributable to the parent company is expected to be approximately RMB 28.26 million (the final amount is subject to the audited financial report data of the Company). Upon completion of this transaction, the Company will no longer hold equity in Tomato Interactive.
On August 18, 2026, the Company held the second meeting of the Seventh Board of Directors, which reviewed and approved the "Proposal on the Disposal of Equity in an Investee Company." This transaction does not constitute a connected transaction and is not involved in major asset restructuring as stipulated by the "Measures for the Administration of Major Asset Restructuring of Listed Companies." This transaction is within the scope of the Board of Directors' approval authority and does not require submission to the shareholders' meeting for review.
