Shenzhen Fast-Access Technology Co., Ltd. Chairman's Work Rules
Chapter 1 General Provisions
Article 1 To further improve the corporate governance structure, clarify the duties and authorities of the Chairman of Shenzhen Fast-Access Technology Co., Ltd. (hereinafter referred to as the "Company"), standardize the division of labor between the Chairman and the General Manager and the management team, and ensure the organic connection between the Company's operating decisions and daily management. These Rules are formulated in accordance with the "Company Law of the People's Republic of China," the "Articles of Association," the "Rules of Procedure for Board Meetings," and other regulations, combined with the Company's objective circumstances and actual conditions.
Article 2 These Rules are binding on the Company and its Chairman.
Chapter 2 Qualifications and Obligations of the Chairman
Article 3 The Chairman shall be a director, elected or removed by a majority of the votes of all directors. The Chairman is the legal representative of the Company and exercises his powers in accordance with the "Articles of Association" and the authorization of the Board of Directors.
Article 4 The Company shall have one Chairman, whose term of office shall be the same as the term of office of the Board of Directors, and who may be re-elected.
Article 5 Qualifications for the Chairman: (1) Possesses extensive knowledge of the market economy, the ability to correctly analyze and judge macroeconomic trends and market development trends, the ability to oversee and control the overall situation, strong decision-making ability, and dares to take responsibility; (2) Possesses strong communication and coordination skills, is open-minded, and is adept at coordinating relationships within the Board of Directors, between directors and shareholders, and between directors and the General Manager; (3) Possesses a good democratic awareness and can organize and leverage the collective leadership of the Board of Directors; (4) Possesses rich experience in corporate management, is familiar with the production and operation business of the industry and relevant national policies, laws, and regulations; (5) Can fully fulfill the duties of integrity and diligence, possesses good personal cultivation, is upright and incorruptible, fair and just; (6) Possesses a strong sense of mission, responsibility, and a spirit of pioneering and enterprising, and can strive to create a new situation; (7) Is familiar with and abides by the relevant laws, regulations, and systems of listed companies.
