Announcement Regarding the Completion and Termination of Fund-Raising Investment Projects and the Permanent Replenishment of Working Capital with Surplus Proceeds

Tianjin Chase Sun Pharmaceutical Co., Ltd. (hereinafter referred to as the "Company") held the ninth meeting of the ninth Board of Directors on July 8, 2026, and deliberated and approved the "Proposal on the Completion and Termination of Fund-Raising Investment Projects and the Permanent Replenishment of Working Capital with Surplus Proceeds." The proposal has been reviewed and approved by the Audit Committee of the Board of Directors and the meeting of independent directors. The Board of Directors agreed to conclude the IPO fund-raising projects: "Xuebijing Technical Transformation and Expansion Project," "R&D Center Construction Project," "Workshop Technical Transformation Project," "ERP Information System," "Cooperative Development of Class I New Drug for Sepsis with the First Affiliated Hospital of the Third Military Medical University of the Chinese People's Liberation Army," and "Investment in Beijing Kangrentang Pharmaceutical Co., Ltd."; and to conclude the 2012 private placement fund-raising project: "Investment in Beijing Kangrentang Pharmaceutical Co., Ltd." The Company will terminate the IPO fund-raising project: "Cooperative Development of Anti-Hepatitis C New Drug with Shanghai Institute of Materia Medica, Chinese Academy of Sciences," and use the surplus proceeds of 104.9513 million RMB (including bank interest; the final amount is subject to the bank settlement amount on the day of fund transfer) to permanently replenish working capital for the Company's daily production and operation activities.
According to the "Regulatory Rules for Fund-Raising of Listed Companies," "Rules Governing the Listing of Stocks on the ChiNext Market of the Shenzhen Stock Exchange," "Self-Regulatory Guidelines for Listed Companies on the ChiNext Market No. 2—Standardized Operation," and other relevant laws, regulations, and the Company's "Fund-Raising Management System," this proposal still needs to be submitted to the Company's general meeting of shareholders for deliberation. (I) Basic Information on IPO Fund-Raising
Approved by the China Securities Regulatory Commission's "Reply on Approving the Initial Public Offering of Shares and Listing on the ChiNext Market of Tianjin Chase Sun Pharmaceutical Co., Ltd." (Zheng Jian Xu Ke [2009] No. 1038), and with the consent of the Shenzhen Stock Exchange, the Company issued 12.59 million RMB-denominated ordinary shares (A shares) to the public, with a par value of 1 RMB per share and an issue price of 60.00 RMB per share. The total amount of funds raised was 755,400,000.00 RMB. After deducting issuance expenses such as coaching fees, underwriting fees, sponsorship fees, legal fees, audit fees, information disclosure, and roadshow promotion fees totaling 34,640,669.19 RMB, the actual net proceeds were 720,759,330.81 RMB. Zhongrui Huaxia Certified Public Accountants (Special General Partnership) verified the arrival of the funds for the Company's IPO and issued the "Capital Verification Report" (Zhongrui Huaxia Yan Zi [2009] No. 211) on October 20, 2009. According to the "Decision on the Handling of the 2009 Accounting Information Quality Inspection of Tianjin Chase Sun Pharmaceutical Co., Ltd." (Cai Zhu Jin Jian [2010] No. 84) issued by the Ministry of Finance's Resident Inspector's Office in Tianjin, Zhongrui Huaxia Certified Public Accountants (Special General Partnership) issued the "Audit Report" (Zhongrui Huaxia Shen Zi [2010] No. 06267) on December 28, 2010, adjusting the Company's actual net proceeds from 720,759,330.81 RMB to 721,685,152.13 RMB.
