Regarding Qingdao CHOHO Industrial Co., LTD.'s 2025 Private Placement of A Shares Issuance Sponsorship Statement
To the China Securities Regulatory Commission and the Shenzhen Stock Exchange:
Qingdao CHOHO Industrial Co., LTD. (hereinafter referred to as "CHOHO Industrial", "the Issuer", or "the Company") proposes to issue no more than 24.525 million shares of RMB ordinary shares (A shares) (hereinafter referred to as "this Securities Issuance", "this Issuance", or "Private Placement of A Shares") to specific targets, and has engaged China International Capital Corporation Limited (hereinafter referred to as "CICC") as the sponsor for this Securities Issuance (hereinafter referred to as "the Sponsor" or "this Institution").
In accordance with the "Company Law of the People's Republic of China" (hereinafter referred to as "Company Law"), the "Securities Law of the People's Republic of China" (hereinafter referred to as "Securities Law"), the "Administrative Measures for the Sponsorship Business of Securities Issuance and Listing" (hereinafter referred to as "Sponsorship Measures"), the "Administrative Measures for the Registration of Securities Issuance by Listed Companies" (hereinafter referred to as "Registration Measures"), the "Rules for the Content and Format of Information Disclosure by Companies Issuing Securities No. 27 — Sponsorship Statement and Sponsorship Work Report" (hereinafter referred to as "Rule No. 27"), the "Due Diligence Work Standards for Sponsors", and other laws and regulations, as well as the relevant provisions of the China Securities Regulatory Commission (hereinafter referred to as "CSRC") and the Shenzhen Stock Exchange (hereinafter referred to as "SZSE"), CICC and its authorized representatives have acted with honesty and good faith, diligently and responsibly, and have issued this Sponsorship Statement in strict accordance with the legally established business rules, industry practice standards, and ethical codes, ensuring the truthfulness, accuracy, and completeness of this Sponsorship Statement.

Zhang Yiming: Obtained sponsorship representative qualification in 2021. Previously served as the sponsor representative for Xiamen Xiangyu's private placement project. Has participated in the IPO project for Guanglian Aviation's GEM, the convertible bond project for Great Wall Motor, the private placement project for Zhongcheng Shares, and the convertible bond project for China Merchants Port. Has strictly complied with the "Sponsorship Measures" and other relevant regulations during the sponsorship business, with a good professional record.
Mi Kai: Obtained sponsorship representative qualification in 2017. Previously served as the sponsor representative for CRRC's main board IPO project and CHOHO Industrial's main board IPO project, and the private placement project for Xiamen Port. Has participated in the convertible bond project for CQC, the private placement project for Tongda Express, and the private placement project for Wanhua Chemical. Has strictly complied with the "Sponsorship Measures" and other relevant regulations during the sponsorship business, with a good professional record.
