I. Transaction Overview
To further optimize product structure and enhance asset operation efficiency, Hefei Cube Pharmaceutical Co., Ltd. (hereinafter referred to as "the Company") held the third meeting of the sixth board of directors on December 30, 2025, and approved the proposal to sign the "Drug Marketing Authorization Holder Transfer Contract." On the same day, the Company signed the "Mesalazine Enteric-Coated Tablets MAH Transfer Contract" with Kweichow Pharmaceutical Group Jiamusi Luling Pharmaceutical Co., Ltd. (hereinafter referred to as "Luling Kweichow"), deciding to transfer the ownership of the Mesalazine Enteric-Coated Tablets for RMB 34 million.
