I. Chairman's Resignation
Chenzhan Optoelectronics (Xiamen) Co., Ltd. (hereinafter referred to as the "Company" or "Chenzhan Optoelectronics") recently received a written resignation report from its Chairman, Mr. Cai Zongliang. Mr. Cai Zongliang has applied to resign from his positions as a director, chairman of the board, member of the Audit Committee, and member of the Strategy Committee of the third board of directors due to personal work arrangements. He will not hold any positions in the Company after his resignation.
According to the "Company Law," "Shenzhen Stock Exchange Listed Company Self-Regulatory Management Guide No. 1 - Norms for the Operation of Main Board Listed Companies," and the "Articles of Association," Mr. Cai Zongliang's resignation will not result in the number of directors on the Company's board falling below the legal minimum, nor will it affect the Company's daily production, operation, and normal functioning of the board. His resignation report takes effect from the date it is delivered to the Company's board of directors. As of the date of this announcement, Mr. Cai Zongliang does not hold any shares in the Company and has no outstanding commitments that need to be fulfilled.
