This change in equity is due to an adjustment in the upper-level equity structure of Xiamen Xinhe Investment Co., Ltd. (formerly "Xiamen Xinhe Investment Co., Ltd.", hereinafter referred to as "Xinhe Investment"), a concerted party of Xinhe Co., Ltd. (hereinafter referred to as the "Company"). Ms. Sun Maobao, one of the actual controllers, transferred 5.0025% of the equity of Xinhe Investment to Mr. Sun Baohao, another actual controller. They are grandmother and grandson, and both belong to the Sun family, the actual controllers of the Company. This equity transfer is an internal asset arrangement within the Sun family, the actual controllers of the Company. It does not involve secondary market trading, does not trigger a mandatory offer, and will not adversely affect the Company's daily operations, nor does it harm the interests of the Company or other shareholders (especially small and medium shareholders).

This change in equity involves a reduction in the actual controllers of the Company. Ms. Sun Maobao no longer indirectly holds equity in the Company and does not participate in the Company's operations, thus no longer being considered an actual controller. The actual controllers of the Sun family have jointly signed the "Supplementary Agreement to the Concerted Action Agreement (II)". The actual controllers have changed from Mr. Sun Ruihong, Ms. Sun Mengjie, Mr. Zhuo Jianrong, Ms. Sun Maobao, and Mr. Sun Baohao to Mr. Sun Ruihong, Ms. Sun Mengjie, Mr. Zhuo Jianrong, and Mr. Sun Baohao. The number of shares directly held by the controlling shareholder and its concerted parties, and the total number of shares controlled by the actual controllers, have not changed.
The Company recently received notification from the actual controllers and the controlling shareholder's concerted parties that the upper-level equity structure of Xinhe Investment has undergone a recent change, and the relevant equity transfer registration has been completed. At the same time, the actual controllers of the Sun family have jointly signed the "Supplementary Agreement to the Concerted Action Agreement (II)". The relevant situation is hereby announced as follows:
