Chapter 1 General Provisions
Article 1 To regulate the implementation of the 2026 Employee Stock Ownership Plan of Jinfu Food Group Co., Ltd. (hereinafter referred to as the "Company" or "Jinfu Food") (hereinafter referred to as the "Employee Stock Ownership Plan" or "Employee Stock Ownership Plan"), in accordance with the "Company Law of the People's Republic of China" (hereinafter referred to as the "Company Law"), the "Securities Law of the People's Republic of China" (hereinafter referred to as the "Securities Law"), the "Guiding Opinions of the China Securities Regulatory Commission on Pilot Programs for Employee Stock Ownership Plans of Listed Companies" (hereinafter referred to as the "Guiding Opinions"), the "Shenzhen Stock Exchange Listed Company Self-Regulatory Management Guide No. 1 - Normative Operation of Main Board Listed Companies" (hereinafter referred to as the "Self-Regulatory Management Guide No. 1"), and other relevant laws, administrative regulations, rules, normative documents, and the "Articles of Association of Jinfu Food Group Co., Ltd." (hereinafter referred to as the "Articles of Association"), and the "2026 Employee Stock Ownership Plan (Draft) of Jinfu Food Group Co., Ltd.", these "Management Measures for the 2026 Employee Stock Ownership Plan of Jinfu Food Group Co., Ltd." (hereinafter referred to as the "Management Measures") are hereby formulated.
Chapter 2 Objectives and Basic Principles of the Plan
Article 2 The Company has formulated this draft plan in accordance with the "Company Law", "Securities Law", "Guiding Opinions", "Self-Regulatory Management Guide No. 1", and other laws, regulations, normative documents, and the "Articles of Association".
To further improve the Company's corporate governance structure, establish and improve the Company's incentive and restraint mechanisms, fully mobilize the enthusiasm and creativity of senior management and employees, effectively align shareholder interests, company interests, and individual employee interests, and jointly focus on the Company's long-term development. The Company's employees voluntarily and legally participate in this Employee Stock Ownership Plan. The purpose of holding company shares is to establish and improve a mechanism for sharing benefits and risks between shareholders and employees, attract, motivate, and retain core talent, enhance cohesion and the Company's competitiveness, mobilize employees' enthusiasm and creativity, and promote the Company's long-term, sustainable, and healthy development.
Article 3 Basic Principles of the Employee Stock Ownership Plan
(1) Principle of Legality and Compliance
The Company shall implement the employee stock ownership plan in strict accordance with laws and administrative regulations, fulfill procedures, and implement information disclosure truthfully, accurately, completely, and timely. No person shall use the employee stock ownership plan for insider trading, market manipulation, or other securities fraud activities.
(2) Principle of Voluntary Participation
The Company shall implement the employee stock ownership plan in accordance with the principle of company autonomy and voluntary employee participation. The Company shall not force employees to participate in the employee stock ownership plan through allocation or mandatory distribution.
(3) Principle of Risk Bearing
Participants in the employee stock ownership plan shall bear their own profits and losses, and bear risks independently, with equal rights to those of other investors.
Chapter 3 Participants and Scope of the Employee Stock Ownership Plan
Article 4 The holders of this Employee Stock Ownership Plan shall be determined in accordance with the relevant provisions of the "Company Law", "Securities Law", "Guiding Opinions", "Self-Regulatory Management Guide No. 1", and other relevant laws, regulations, normative documents, and the "Articles of Association". Company employees shall participate in this Employee Stock Ownership Plan in accordance with the principles of voluntary participation, legality and compliance, and risk bearing.
