To: Guangdong Chaoyang Electronic Technology Co., Ltd.
Shanghai AllBright Law Offices (Guangzhou) (hereinafter referred to as "the Firm") was entrusted by Guangdong Chaoyang Electronic Technology Co., Ltd. (hereinafter referred to as "the Company") to appoint lawyers Zhao Jianfa and Lu Shasha (hereinafter referred to as "the Firm's lawyers") to witness the 2025 Annual General Meeting (hereinafter referred to as "the EGM") held by the Company on March 31, 2026. In accordance with the "Company Law of the People's Republic of China" (hereinafter referred to as "Company Law"), the "Securities Law of the People's Republic of China" (hereinafter referred to as "Securities Law"), the "Rules for the General Meeting of Shareholders of Listed Companies" (hereinafter referred to as "Shareholders' Meeting Rules"), and other currently effective laws, regulations, and the "Articles of Association of Guangdong Chaoyang Electronic Technology Co., Ltd." (hereinafter referred to as "Articles of Association") of the Company, the Firm hereby issues this Legal Opinion on the convening and procedures of the EGM, the qualifications of attendees, the qualifications of the convener, and the legality and validity of the voting procedures and results.
To issue this Legal Opinion, the Firm's lawyers have reviewed the relevant documents and materials of the Company's EGM. The Firm's lawyers have obtained the Company's commitment that the documents and statements provided by the Company for the issuance of this Legal Opinion are true, accurate, complete, and valid, that the copies of the documents provided are consistent with the originals, and that all facts and documents that could affect this Legal Opinion have been disclosed to the Firm without any concealment or misrepresentation.
In this Legal Opinion, the Firm's lawyers only express opinions on whether the convening and procedures of the EGM comply with relevant laws, regulations, and the Articles of Association, as well as the qualifications of attendees, the qualifications of the convener, the voting procedures, and the legality and validity of the voting results. The Firm's lawyers do not express opinions on the truthfulness and accuracy of the facts or data described in the EGM proposals.
The Firm and its lawyers agree that this Legal Opinion will be used as a legal document for the announcement of the EGM, published along with other announcement documents, and will bear legal responsibility for the legal opinions expressed herein. This Legal Opinion is for the purpose of witnessing the Company's EGM only and shall not be used for any other purpose.
Based on the foregoing, the Firm's lawyers, in accordance with the requirements of relevant laws and regulations, and in accordance with the generally recognized professional standards, ethical norms, and diligent and conscientious spirit of the legal profession, hereby issue the following legal opinion on the Company's EGM:
I. Convening and Procedures of the EGM
The Company's Board of Directors held its tenth meeting of the fourth session on March 6, 2026, and deliberated and approved the "Proposal on Convening the 2025 Annual General Meeting," deciding to hold the EGM on March 31, 2026. On March 10, 2026, the Company's Board of Directors published the "Notice of Guangdong Chaoyang Electronic Technology Co., Ltd. on Convening the 2025 Annual General Meeting" (hereinafter referred to as the "EGM Notice") through information disclosure media designated by the China Securities Regulatory Commission. The "EGM Notice" specified the time, place, voting methods, matters to be considered at the meeting, equity registration date, attendees, and registration matters for the EGM.
