I. Overview of the Agreement Transfer and Transaction
The Company's controlling shareholder and actual controller, Mr. Yuan Jianmin, and Mr. Yu Xinwen, the founding shareholder of Shenzhen Jialante Technology Co., Ltd. (hereinafter referred to as "Jialante"), signed a conditional share transfer agreement on February 27, 2026 (subject to the completion of the Company's acquisition of 100% equity of Jialante as a prerequisite): Mr. Yuan Jianmin will transfer 9,470,058 shares of the Company to Mr. Yu Xinwen through an agreement transfer, accounting for 5.00% of the Company's total share capital. On June 5, 2026, Mr. Yuan Jianmin and Mr. Yu Xinwen signed a "Supplementary Agreement to the Share Transfer Agreement between Yuan Jianmin and Yu Xinwen regarding Shenzhen Huashengchang Technology Industrial Co., Ltd."
