(hereinafter referred to as "the Company" or "this Company"), stock code: 002975, experienced a cumulative increase in its closing price deviation of over 20% for three consecutive trading days on August 4, 5, and 6, 2026. In accordance with the "Trading Rules of the Shenzhen Stock Exchange," this constitutes abnormal stock trading fluctuations.
II. Explanation of Verification and Rectification Measures
In response to the abnormal fluctuations in the Company's stock trading, the Company has conducted a comprehensive self-inspection and formally inquired with its controlling shareholder and actual controller. The relevant situation is hereby explained as follows:

The Company has not discovered any undisclosed material information recently reported by public media that may have or has already had a significant impact on the Company's stock trading price. Concurrently, the Company notes recent market discussions regarding the Company's involvement in businesses such as "optical communication indium phosphide," "semiconductors," "optical modules," "liquid cooling," "humanoid robots," and "MLCC." The Company hereby clarifies as follows:
(1) Optical Communication Indium Phosphide Business
The optical communication indium phosphide business mentioned in market rumors is conducted by Zhuhai Dingtai Xinyuan Crystal Co., Ltd. (hereinafter referred to as "Dingtai Xinyuan"), in which the Company holds a stake. Dingtai Xinyuan was established in March 2017 and is a company dedicated to the domestic production of III-V compound semiconductor single crystals and substrates, primarily focusing on indium phosphide and gallium antimonide. Its main products, indium phosphide substrates, are widely used in optical fiber communication, optical detectors, infrared optics, and high-frequency millimeter-wave communication fields. Gallium antimonide substrates are mainly used in the preparation of electronic components for infrared detection.
In July 2017, Mr. Wang Zhaochun and Mr. Fu Lin, the Company's controlling shareholder and actual controller, respectively, invested and acquired 6.390% of Dingtai Xinyuan's shares. In September 2017, their shareholding ratio increased to 23.390% through capital increases. Following multiple equity transfers and Dingtai Xinyuan's capital increases and expansion, Mr. Wang Zhaochun and Mr. Fu Lin currently hold 7.742% of Dingtai Xinyuan's shares.
In August 2020, the Company invested in and acquired 12.887% of Dingtai Xinyuan's shares. For details, please refer to the "Announcement on the Purchase of 12.885% Equity in Zhuhai Dingtai Xinyuan Crystal Co., Ltd. and Related Party Transaction" disclosed on CNINFO on August 27, 2020. Following Dingtai Xinyuan's capital increases and expansion, the Company currently holds 11.049% of Dingtai Xinyuan's shares, accounted for as long-term equity investment using the equity method.
