Dear shareholders and shareholder representatives:
As an independent director of Zhuhai Bojie Electronics Co., Ltd. (hereinafter referred to as "the Company"), I, Huang Baoshan, born in 1979 and holding a doctorate, have no foreign residency rights. I have served as the Assistant Dean and Vice Dean of the School of Industrial Automation at Beijing Institute of Technology, Zhuhai Campus, and have been the Dean since July 2018. I have been an independent director of the Company since 2021.
1. Basic Information of Independent Director
(1) Personal Professional Background and Experience
During my term, I conducted a self-assessment of my independence and believe I meet the independence requirements outlined in Article 6 of the "Measures for the Administration of Independent Directors of Listed Companies." I have no direct or indirect interests or other circumstances that may affect my independent judgment, allowing me to perform my duties independently without influence from the Company or its major shareholders and actual controllers.
2. Meeting Attendance
During my tenure in 2025, the Company held 13 board meetings and 5 shareholder meetings, all of which I attended. There were no instances of my absence from consecutive meetings. The convening of board and shareholder meetings complied with legal procedures, and significant business decisions and other major matters were executed according to relevant regulations, ensuring legality and effectiveness. After careful review and active discussion of all board proposals and other Company matters during the reporting period, I voted in favor without objections, dissent, or abstentions.
3. Attendance at Committee Meetings and Special Meetings of Independent Directors
During the reporting period, the Audit Committee of the board held 7 meetings, all of which I attended as a committee member, diligently reviewing relevant proposals and fulfilling my committee responsibilities.
