To manage related transactions and information disclosure effectively, Hualin Securities Co., Ltd. (hereinafter referred to as "the Company") has confirmed the actual execution of related transactions for 2025 based on relevant laws and regulations, including the Company Law and the Shenzhen Stock Exchange Listing Rules. The Company has also made reasonable estimates of potential related transactions for 2026 based on its daily operations and business development needs. Related parties include Shenzhen Liyue Group Co., Ltd. (hereinafter referred to as "Liyue Group"), Shenzhen Sigma Computer Technology Co., Ltd. (hereinafter referred to as "Sigma"), and other related legal entities and individuals as defined by Article 6.3.3 of the Shenzhen Stock Exchange Listing Rules. The types of related transactions mainly include providing securities and financial product services to related parties, conducting securities and financial product transactions with related parties, and purchasing goods or services from related parties.
On March 30, 2026, the Company held the seventh meeting of the fourth board of directors, where the proposal on the estimated daily related transactions for 2026 was approved. Related director Lin Li abstained from voting. This proposal was reviewed and approved by the independent directors in a special meeting. The independent directors conducted a prior review of the proposal and unanimously approved it, providing the following opinions: The estimated daily related transactions for 2026 are generated from the Company's normal business operations, are part of regular business dealings, and will bring certain benefits to the Company without creating dependency on related parties. The Company intends to execute all related transactions at fair prices, ensuring no harm to the interests of the Company and non-related shareholders. This proposal has also been reviewed and approved by the Audit and Related Transactions Committee of the board (with related director Lin Li abstaining from voting). The committee believes that the estimated daily related transactions for 2026 are generated from the Company's normal business operations, are part of regular business dealings, and will bring certain benefits to the Company without creating dependency on related parties. The proposal will be submitted to the 2025 annual shareholders' meeting for review, with Liyue Group and Sigma abstaining from voting as related shareholders.
