Independent Financial Advisor's Statement

Changjiang Financing Services Co., Ltd. (hereinafter referred to as "Changjiang Financing" or "Independent Financial Advisor") was engaged by Wuhan Mindray Bio-Medical Electronics Co., Ltd. (hereinafter referred to as "Mindray Bio," "the Listed Company," or "the Company") to act as the independent financial advisor for this transaction. In accordance with the requirements of the Company Law, the Securities Law, the Administrative Measures for the Restructuring, and the No. 26 Format Guidelines, and following recognized business standards and ethical norms of the securities industry, this Independent Financial Advisor has conducted a prudent investigation and issued this verification opinion on the implementation of this restructuring.
