I. Convening of the Board Meeting
The Ninth Meeting of the Fifth Board of Directors of Wuhan Mingde Biological Technology Co., Ltd. (hereinafter referred to as the "Company") was held on July 31, 2026, in a combined on-site and teleconference format at the Company's meeting room. The meeting notice was sent out via email, telephone, and other communication methods on July 27, 2026. A total of 8 directors were eligible to attend, and 8 directors actually attended the meeting. The meeting was presided over by Ms. Chen Lili, the Chairperson of the Company. Senior management personnel of the Company attended the meeting as non-voting participants. The convening and holding of this meeting comply with the provisions of the "Company Law of the People's Republic of China" and the Company's Articles of Association.

The Company intends to acquire 100% of the shares of Wuhan Aier Medical Supplies Co., Ltd. held by Blue Sail Medical Co., Ltd. through cash payment (hereinafter referred to as the "Transaction").
