Announcement on Responding to the Shenzhen Stock Exchange's Inquiry Letter Regarding Wuhan Mindong Bio-medicine Technology Co., Ltd.'s Major Asset Purchase by Cash

Wuhan Mindong Bio-medicine Technology Co., Ltd. (hereinafter referred to as the "Company" or "Listed Company") intends to acquire 100% of the equity of Wuhan Becaure Medical Supplies Co., Ltd. (hereinafter referred to as "Becaure") held by Blue Sail Medical Co., Ltd. through cash payment (hereinafter referred to as the "Transaction"). Upon completion of the Transaction, Becaure will become a wholly-owned subsidiary of the Listed Company.
On July 10, 2026, the Company received an inquiry letter from the Shenzhen Stock Exchange (hereinafter referred to as the "SZSE") regarding the cash major asset purchase of Wuhan Mindong Bio-medicine Technology Co., Ltd. (Inquiry Letter on Mergers and Acquisitions [2026] No. 9) (hereinafter referred to as the "Inquiry Letter"). The Company, together with the intermediary agencies, has addressed each issue raised in the Inquiry Letter and provided this response.

Question 1:
The "Report" shows that (1) the main business of the target company, Becaure, is the research and development, production, and sales of various emergency care products centered on first-aid kits. The main business revenue for 2024 and 2025 was RMB 25,409.30 million and RMB 23,001.52 million, respectively, a year-on-year decrease of 9.48%; the net profit attributable to the parent company (hereinafter referred to as net profit) was RMB 3,067.68 million and RMB 1,769.13 million, respectively, a year-on-year decrease of 42.33%; the net profit attributable to the parent company after deducting non-recurring gains and losses was RMB 2,679.48 million and RMB 1,219.34 million, respectively, a year-on-year decrease of 54.49%; the gross profit margin of the main business was 25.17% and 23.90%, respectively, a decrease of 1.27 percentage points year-on-year. This is mainly due to the weak macroeconomic sentiment in Europe in 2025, the significant increase in cost reduction demands from European domestic vehicle manufacturers, and the intensified market competition for individual first-aid products, leading to a decrease in the company's product sales prices. Among them, the "vehicle first-aid kit" product, which accounts for the highest proportion of main business revenue, achieved revenues of RMB 12,200.66 million and RMB 11,177.99 million in 2024 and 2025, respectively, a year-on-year decrease of 8.38%; the sales price of this product in 2025 was RMB 16.60 per set, a decrease of 14.70% compared to RMB 19.46 per set in 2024.
(2) Your company's operating revenue in 2025 was RMB 26,507.87 million, a year-on-year decrease of 24.28%; the net profit was RMB -1,646.07 million, turning from profit to loss year-on-year; after the transaction, the consolidated net profit of your company on a pro forma basis was RMB -40.66 million, still in a slight loss state.
