Shenzhen China New Technology Co., Ltd. (hereinafter referred to as the "Company" or "this Company") held the fifth meeting of the fourth Board of Directors on March 17, 2026, and reviewed and approved the "Proposal on Co-investment with Professional Investment Institutions and Related Party Transactions," the details of which are hereby announced as follows:
I. Overview of the Related Party Transaction
(I) Basic Situation of the Transaction
To better leverage the professional strength and resource advantages of professional institutions, integrate resources, and enhance the Company's capital operation capabilities, the Company intends to invest RMB 50,000,000.00 of its own funds as a limited partner into Shenzhen Capital Venture AI and Embodied Robot Industry Private Equity Investment Fund Partnership (Limited Partnership) (hereinafter referred to as the "Target Fund"). After the capital increase, the Company will hold 2.3364% of the Target Fund's committed capital.
(II) Explanation of Related Party Relationship
Shenzhen Futian Red Soil Equity Investment Fund Management Co., Ltd. (hereinafter referred to as "Futian Red Soil") is the general partner, executive partner, and manager of the Target Fund. Shenzhen Red Soil Venture Capital Co., Ltd. (hereinafter referred to as "Red Soil Venture Capital") is a limited partner of the Target Fund. Futian Red Soil and Red Soil Venture Capital are wholly-owned subsidiaries of Shenzhen Capital Group Co., Ltd. (hereinafter referred to as "Shenzhen Capital Group"), the controlling shareholder of the Company. According to the "Shenzhen Stock Exchange Stock Listing Rules," "Shenzhen Stock Exchange Listed Company Self-Regulation Supervision Guidelines No. 7 - Transactions and Related Party Transactions," and other relevant laws and regulations, Red Soil Venture Capital and Futian Red Soil are related legal persons of the Company, and this transaction constitutes a related party transaction.
(III) Deliberation Procedures for this Transaction
On March 17, 2026, the Company held the fifth meeting of the fourth Board of Directors and reviewed and approved the "Proposal on Co-investment with Professional Investment Institutions and Related Party Transactions." Directors Wang Xindong, Ian J. Chen, Chen Wai Hwa, and Chen Huixia abstained from voting. This proposal has been reviewed and approved by the special committee of independent directors of the Company.
According to the "Shenzhen Stock Exchange Stock Listing Rules," "Company Articles of Association," and other relevant laws, regulations, and rules, this transaction needs to be submitted for approval by the Company's shareholders' meeting, and related shareholders need to abstain from voting. This transaction does not constitute a major asset restructuring as defined by the "Measures for the Administration of Major Asset Restructuring of Listed Companies."
