To: Guangdong Huawai Acoustic Technology Co., Ltd.
Guangdong Xinda Law Firm (hereinafter referred to as "Xinda") has been entrusted by Guangdong Huawai Acoustic Technology Co., Ltd. (hereinafter referred to as "Huawai Technology" or "the Company") to send lawyers to attend the first extraordinary shareholders' meeting of Huawai Technology in 2026 (hereinafter referred to as "this shareholders' meeting"), to witness the legality of this shareholders' meeting, and to issue this "Legal Opinion on the First Extraordinary Shareholders' Meeting of Guangdong Huawai Acoustic Technology Co., Ltd. in 2026" (hereinafter referred to as "this legal opinion").
This legal opinion is issued based on the provisions of the "Company Law of the People's Republic of China" (hereinafter referred to as "the Company Law"), the "Rules for Shareholders' Meetings of Listed Companies" (hereinafter referred to as "the Shareholders' Meeting Rules"), and other laws, regulations, and normative documents, as well as the currently effective "Articles of Association of Guangdong Huawai Acoustic Technology Co., Ltd." (hereinafter referred to as "the Articles of Association"), and is based on the investigation and understanding of facts that have occurred or existed prior to the issuance of this legal opinion.
To issue this legal opinion, Xinda has strictly fulfilled its statutory duties, adhered to the principles of diligence and honesty, participated in and reviewed the relevant documents and materials of Huawai Technology's shareholders' meeting, and received the following assurances from Huawai Technology: the documents and materials provided to Xinda related to this legal opinion are true, accurate, complete, and valid, containing no misleading information and no concealment or omissions.
In this legal opinion, Xinda only expresses legal opinions on the convening and holding procedures of Huawai Technology's shareholders' meeting, the qualifications of attendees and conveners, the voting procedures, and the voting results, and does not express opinions on the authenticity and accuracy of the proposals reviewed at this shareholders' meeting and other facts and data related to the proposals. Xinda agrees to announce this legal opinion along with other information disclosure materials of Huawai Technology's shareholders' meeting and shall bear corresponding responsibilities according to law.
Therefore, Xinda issues the following witness opinions on the relevant facts of this shareholders' meeting in accordance with the recognized business standards, ethical norms, and diligence spirit of the legal profession:
