Announcement on the Election of the Board of Directors

The term of office for the fifth board of directors of Shenzhen Sanlipu Optoelectronics Co., Ltd. (hereinafter referred to as the "Company") is about to expire. In accordance with the "Company Law of the People's Republic of China" (hereinafter referred to as the "Company Law"), the "Shenzhen Stock Exchange Stock Listing Rules," the "Shenzhen Stock Exchange Listed Company Self-Regulatory Guidelines No. 1 - Norms for the Operation of Main Board Listed Companies," and other laws, regulations, normative documents, and the "Articles of Association," the Company is conducting the election of its board of directors.
On July 23, 2026, the Company held the fifth meeting of the fifth board of directors in 2026, which reviewed and approved the "Proposal on the Election of Non-Independent Directors for the Board of Directors of the Company" and the "Proposal on the Election of Independent Directors for the Board of Directors of the Company." These proposals will be submitted to the Company's shareholders' meeting for review. On the same day, the Company held a workers' congress to elect employee representative directors. The details are as follows:
I. Composition of the Sixth Board of Directors
In accordance with the relevant provisions of the "Articles of Association," the sixth board of directors of the Company will be composed of 8 directors, including 5 non-independent directors (1 of whom is an employee representative director elected by the Company's workers' congress) and 3 independent directors. The term of office for directors shall be three years from the date on which the shareholders' meeting approves the relevant matters of the board election.
II. Candidates for Non-Independent Directors for the Sixth Board of Directors
Following nomination by the Company's board of directors and review by the Nomination Committee, the Company agrees to nominate Mr. Zhang Jianjun, Mr. Ruan Zhiyi, Mr. Chen Hongtao, and Mr. Tao Haogui as candidates for non-independent directors of the sixth board of directors (resumes are attached). These candidates will be submitted to the third extraordinary general meeting of shareholders in 2026 for review. The term of office will be three years from the date of approval by the shareholders' meeting.
III. Candidates for Independent Directors for the Sixth Board of Directors
Following nomination by the Company's board of directors and review by the Nomination Committee, the Company nominates Mr. Chen Zhihua, Mr. Huang Ling, and Ms. Zhang Xiulan as candidates for independent directors of the sixth board of directors (resumes are attached). Mr. Chen Zhihua, Mr. Huang Ling, and Ms. Zhang Xiulan have all obtained the qualification certificates for independent directors or relevant training certificates recognized by the stock exchange. Ms. Zhang Xiulan is an accounting professional. The nominated independent director candidates do not have continuous service exceeding six years in the Company and do not concurrently serve as independent directors in more than three domestic listed companies.
In accordance with the "Company Law," the "Articles of Association," and other relevant regulations, the qualifications and independence of the above independent director candidates are subject to the review and approval of the Shenzhen Stock Exchange. If no objection is raised, they will be submitted to the Company's shareholders' meeting for review. The term of office will be three years from the date of approval by the shareholders' meeting.
