Statement on the Independence of the Appraisal Institution, Reasonableness of Appraisal Assumptions, Relevance of Appraisal Methods to Appraisal Objectives, and Fairness of Appraisal Pricing
Zhejiang Jiemai Electronic Technology Co., Ltd. (hereinafter referred to as the "Company") plans to issue shares to acquire 100% of the equity of Changsha Efoes Technology Co., Ltd. (hereinafter referred to as "Efoes") and raise supporting funds (hereinafter referred to as the "Transaction").
The Company has appointed Gold Certificate (Shanghai) Asset Appraisal Co., Ltd. as the appraisal institution for this Transaction. Gold Certificate (Shanghai) Asset Appraisal Co., Ltd. has issued the relevant "Appraisal Report" (Gold Certificate Appraisal Report No. [2026] A0642). In accordance with the "Company Law of the People's Republic of China," the "Securities Law," and the "Administrative Measures for Major Asset Restructuring of Listed Companies," and other laws, regulations, and normative documents, the Company's Board of Directors has reviewed the independence of the appraisal institution, the reasonableness of the appraisal assumptions, the relevance of the appraisal methods to the appraisal objectives, and the fairness of the appraisal pricing for this Transaction. The review is as follows:
