(I) Overview of Daily Related Party Transactions
Gauss-Bear Digital Technology Co., Ltd. (hereinafter referred to as the "Company") held its 31st meeting of the Fifth Board of Directors on April 17, 2026, and its 2025 Annual Shareholders' Meeting on May 13, 2026, respectively, and deliberated and approved the "Proposal on the Estimated Daily Related Party Transactions for 2026 and Confirmation of Prior Related Party Transactions." For details, please refer to the "Announcement on the Estimated Daily Related Party Transactions for 2026 and Confirmation of Prior Related Party Transactions" (Announcement No.: 2026-043) published on Juchao Information Network (www.cninfo.com.cn) on April 21, 2026.
The Company held its 4th meeting of the Sixth Board of Directors on June 22, 2026, and deliberated and approved the "Proposal on the Estimated Increase of Daily Related Party Transactions for 2026." In accordance with the Company's daily operations and actual business development needs, it is proposed to increase the estimated daily related party transactions with Hunan Jiushen Electronics Co., Ltd. (hereinafter referred to as "Hunan Jiushen") for 2026 by no more than RMB 136 million.
This matter has been reviewed by the 6th Special Committee of Independent Directors of the Company on the 6th meeting, and the independent directors issued their consent opinions, agreeing to submit it to the Board of Directors for deliberation. In accordance with the "Stock Listing Rules of the Shenzhen Stock Exchange," "Shenzhen Stock Exchange Main Board Listed Company Self-Regulatory Management Guidelines No. 1 - Standardized Operation of Main Board Listed Companies," and other relevant laws, regulations, and the Company's Articles of Association, the above-mentioned newly increased daily related party transactions for 2026 need to be submitted for shareholders' meeting approval.
