The "Guangdong New Grand Long Packing Co., Ltd. 2026 Employee Stock Ownership Plan (Draft)" is formulated by New Grand Long in accordance with the Company Law of the People's Republic of China, the Securities Law of the People's Republic of China, the Guiding Opinions on Pilot Implementation of Employee Stock Ownership Plans by Listed Companies, the Shenzhen Stock Exchange Self-Regulatory Guidelines for Listed Companies No. 1 — Standardized Operation of Main Board Listed Companies, and other relevant laws, administrative regulations, rules, normative documents, and the Articles of Association.

This Plan follows the principles of independent decision-making by the Company and voluntary participation by employees, with no forced participation or allocation.

Participants in this Plan are directors, senior management, and core business/technical personnel of the Company (including holding subsidiaries). The total number of participants shall not exceed 56, including 4 directors and senior managers. The specific number of participants will be determined based on actual employee payments.

The funding source for this Plan is the legal remuneration of employees, self-raised funds, and other methods permitted by laws and administrative regulations. The Company does not provide advances, guarantees, loans, or other financial assistance to holders in any way, nor are there any arrangements for third parties to provide rewards, funding, subsidies, or guarantees for employees participating in the Plan.

The source of shares for this Plan is the A-share common stock of New Grand Long already repurchased by the Company's special securities account for repurchases. After approval by the shareholders' meeting, this Plan will acquire and hold the Company's shares held in the special securities account through non-trading transfers or other methods permitted by laws and regulations, totaling no more than 5.0218 million shares, accounting for approximately 2.17% of the Company's current total share capital of 230.40 million shares. The specific number of shares will be determined by the actual amount of capital contributed by employees, and the Company will fulfill its information disclosure obligations in a timely manner.
After the implementation of this Plan, the total number of shares held by all effective employee stock ownership plans of the Company shall not exceed 10% of the total share capital, and the total number of shares corresponding to the share of a single employee shall not exceed 1% of the total share capital. The total number of target shares does not include shares obtained by holders before the Company's initial public offering, shares purchased independently in the secondary market, or shares obtained through equity incentives.
