(hereinafter referred to as "Shenzhen Chongda") production line is in line with the company's overall development plan, aiming to optimize the company's resource allocation, improve management efficiency, and reduce operating costs.
- This production line relocation and business integration is conducted between wholly-owned subsidiaries within the scope of the company's consolidated financial statements. It will not result in a change in the scope of the company's consolidated financial statements, will not have a major impact on the company's production and operation, and does not harm the interests of the company and shareholders.
- The transaction involved in this production line relocation and business integration does not constitute a related-party transaction, nor does it constitute a major asset restructuring as stipulated in the "Measures for the Administration of Major Asset Restructuring of Listed Companies," and does not require submission to the company's shareholders' meeting for deliberation.
Chongda Technology Co., Ltd. (hereinafter referred to as the "Company" or "Chongda Technology") held its fifth meeting of the sixth Board of Directors on April 27, 2026, and deliberated and approved the "Proposal on the Relocation and Business Integration of Subsidiary's Production Line." The specific matters are hereby announced as follows:
I. Overview of the Production Line Relocation and Business Integration
In active response to the company's overall strategic layout, to further optimize resource allocation, reduce operating costs, and improve management efficiency, the Company plans to relocate and integrate the assets, personnel, production, and operation businesses of Shenzhen Chongda, and transfer Shenzhen Chongda's production line to the Company's subsidiary, Zhuhai Chongda Circuit Board Technology Co., Ltd. (hereinafter referred to as "Zhuhai Chongda"). After the relocation, Shenzhen Chongda will no longer undertake production functions, and its original production business will be undertaken and continued by Zhuhai Chongda. This production line relocation and business integration will be organized and implemented by the Company's management.
II. Background and Necessity of the Relocation
(I) Lease Term Limitation for Factory Buildings. Due to the limitation of the lease term for the factory buildings leased by Shenzhen Chongda, the Company's management has decided not to renew the lease after comprehensive consideration.
(II) Resource Advantages of the Transferee. Zhuhai Chongda is located in the Gaolan Port Economic Zone, Zhuhai City. It owns its factory land with a total area of 260,000 square meters and has completed two phases of production bases (3 modern factory buildings), covering products such as multi-layer boards, high-density interconnect (HDI) boards, etc., which are applied in fields such as communication, servers, automobiles, medical care, and aerospace. Zhuhai Chongda factory demonstrates advantages in production efficiency, quality control, etc., through advanced equipment and intelligent management systems, which helps enhance product competitiveness.
