Related Party Transaction Management System

Chapter 1 General Provisions
Article 1 To regulate the related party transaction activities of Xiamen Jihong Technology Co., Ltd. (hereinafter referred to as the "Company"), ensure the legality, fairness, and reasonableness of related party transactions between the Company and its related parties; and at the same time, to ensure the smooth development of the Company's various businesses through necessary related party transactions, and to protect the legitimate rights and interests of the Company and all shareholders, this System is formulated in accordance with the "Company Law of the People's Republic of China" (hereinafter referred to as the "Company Law"), the "Shenzhen Stock Exchange Stock Listing Rules" (hereinafter referred to as the "SZSE Listing Rules"), the "Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited" (hereinafter referred to as the "HKEX Listing Rules"), and other laws, regulations, normative documents, and the "Articles of Association".
Article 2 When reviewing and approving related party transactions, the Company shall adhere to the following principles: (1) Related party transactions should be avoided or minimized as much as possible; (2) The principle of "fairness, justice, openness, equivalent compensation, and not deviating from the standards of prices or fees of independent third parties in the market" shall be followed; (3) Written contracts/agreements shall be signed for the Company's related party transactions, and the signing of written contracts/agreements for related party transactions must obtain the approval and authorization of the Company's authorized bodies; (4) The principle of recusal for related directors and related shareholders shall be followed; (5) For related party transactions involving a significant amount, the Company shall engage an independent financial advisor or professional appraisal institution to issue a special opinion and report, which shall be used as a basis for decision-making; (6) According to the Articles of Association and relevant systems, for related party transactions that require the opinion of the Company's independent directors' special committee, they shall be discussed by the independent directors' special committee and approved by more than half of all independent directors before being submitted to the board of directors for deliberation.
Article 3 When handling related party transactions between the Company and its related parties, the relevant national laws, regulations, rules, and the Articles of Association shall be complied with.
Article 4 When handling related party transactions between the Company and its related parties, this System shall be strictly followed, and the legitimate rights and interests of all shareholders, especially small and medium shareholders, shall not be harmed.
Article 5 Related party transactions entered into by the Company's控股子公司 (subsidiaries controlled by the Company) are deemed as the Company's actions and are subject to this System.
Chapter 2 Related Parties and Related Transactions
Article 6 Related parties include related legal persons and related natural persons defined in accordance with the "SZSE Listing Rules" and connected persons defined in accordance with Chapter 14A of the "HKEX Listing Rules".
