The Ninth Meeting of the Sixth Board of Directors of Wuxi Honghui New Material Technology Co., Ltd. (hereinafter referred to as the "Company") was held on July 15, 2026, after the conclusion of the Third Meeting of the Sixth Board of Directors' Nomination Committee. All Directors agreed to waive the notice period for this Board meeting, which was held in person in Conference Room 305 of the Company's integrated building. Five Directors were eligible to attend, and five Directors were present. The meeting was chaired by Chairman Sheng Hanping, and some senior management personnel of the Company were present. The convening, holding, and voting procedures of this meeting complied with the relevant provisions of the "Company Law" and the "Articles of Association." After careful deliberation by the attending Directors, the following proposal was deliberated and approved:

Mr. Sheng Hanping has applied to resign from his positions as Director, Chairman of the Sixth Board of Directors, and member of the relevant special committees of the Sixth Board of Directors (member of the Strategy Committee (Chairman), member of the Nomination Committee) due to work reassignment. As Mr. Sheng Hanping has submitted his resignation application, and his resignation will result in the number of Directors on the Company's Board falling below the legally required minimum number, Mr. Sheng Hanping's resignation application will only take effect after the election of a new non-indepe
