Announcement on the Fulfillment of Commitments by the Company's Former Controlling Shareholder

I. Background and Basic Information of Commitments
On December 2, 2021, Shenzhen Jianyi Decoration Group Co., Ltd. (hereinafter referred to as the "Company," "Listed Company," or "Jianyi Group") held its Third Board of Directors' 35th Meeting and the Third Supervisory Board's 24th Meeting, which approved the "Proposal on Signing a Strategic Cooperation Agreement and Related Party Transaction." The Company, its former controlling shareholder Mr. Liu Haiyun (hereinafter referred to as "Party B"), and Zhuhai Zhengfang Group Co., Ltd. (hereinafter referred to as "Zhengfang Group," "Party A") signed a "Strategic Cooperation Agreement," making the following commitments regarding accounts receivable and the transition period:
(I) Accounts Receivable Commitment
Jianyi Group's net accounts receivable from all customers (i.e., the sum of all customer accounts receivable, notes receivable, and other receivables less bad debt provisions) as of December 31, 2020, shall be collected 100% before the issuance of the audit report for the 2025 fiscal year. If not collected within the overdue period, Mr. Liu Haiyun shall, within 30 working days from the issuance of the aforementioned annual audit report, compensate Jianyi Group in cash for the difference between the amount actually collected and 100% of the net accounts receivable balance. If the overdue accounts receivable are recovered before the issuance of Jianyi Group's 2029 annual audit report, Jianyi Group shall refund the compensation amount to Mr. Liu Haiyun based on the recovery situation. If the overdue accounts receivable remain uncollected by the issuance of Jianyi Group's 2029 annual audit report, the compensation amount will not be refunded. To ensure his ability to fulfill the commitment for the recovery of accounts receivable, Mr. Liu Haiyun pledged 3 million shares of Jianyi Group held by Zhengfang Group to Zhengfang Group after Zhengfang Group gained control of Jianyi Group, and provided a personal joint liability guarantee. The pledge of Mr. Liu Haiyun's shares will be released in stages based on the actual recovery of Jianyi Group's accounts receivable until the commitment regarding accounts receivable is fulfilled or completed.
(II) Transitional Period Commitment
From January 1, 2021, to the period when the Board of Directors and Supervisory Board of Jianyi Group were re-elected (hereinafter referred to as the "Transition Period"), Mr. Liu Haiyun shall be liable for compensation to Jianyi Group for any cumulative losses incurred or foreseeable due to litigation related to new businesses arising during this period, exceeding RMB 8 million.
The Board of Directors and Supervisory Board of Jianyi Group were re-elected on December 22, 2021.
II. Fulfillment of Commitments
The Company engaged Beijing Dehao International Certified Public Accountants (Special General Partnership) to conduct a special audit on the fulfillment of the aforementioned transitional period commitments and accounts receivable commitments. The audit resulted in the issuance of the "Shenzhen Jianyi Decoration Group Co., Ltd. Strategic Cooperation Agreement Related Accounts Receivable Recovery Audit Report" (Dehao Audit [2026] No. 00001402) and the "Shenzhen Jianyi Decoration Group Co., Ltd. Strategic Cooperation Agreement Related Transitional Period Cumulative Loss Audit Report" (Dehao Audit [2026] No. 00001584). Additionally, in conjunction with the "Shenzhen Jianyi Decoration Group Co., Ltd. 2022-2024 Performance Commitment Audit Report for Decoration Construction Business" (Dehao Audit [2025] No. 00000858) issued by Beijing Dehao International Certified Public Accountants (Special General Partnership) (see the relevant announcement published by the Company on March 3, 2026, on the designated information disclosure media), the fulfillment of Mr. Liu Haiyun's commitments regarding accounts receivable and the transition period is as follows:
