Use of Raised Funds Plan
The total amount of funds to be raised from this private placement of shares shall not exceed 65,000.00 million yuan. After deducting issuance expenses, the entire amount will be used for the following projects:

Before the raised funds are in place, the company may use its own funds for advance investment in the raised fund projects based on its operating conditions and business plans. The advance investment will be reimbursed after the raised funds are in place. If the net amount of raised funds is less than the total investment required for the raised fund investment projects, the company's shareholders' meeting will authorize the board of directors to adjust and finally determine the specific investment amount of the raised funds based on the net amount of raised funds and the urgency of the projects. The shortfall will be resolved by the company using its own funds or other financing methods.
Within the scope of the above raised fund investment projects, the board of directors may make appropriate adjustments to the investment amount of raised funds for the projects according to their actual needs and in accordance with the procedures stipulated by relevant laws and regulations.

1. Project Overview
The total investment for this project is 38,884.87 million yuan, with a construction period of 24 months. This project aims to expand the production capacity of AI computing power core magnetic components. The project construction includes building new production facilities, purchasing advanced equipment, and establishing intelligent manufacturing production lines. The project's products will cover high-efficiency, high-power-density LLC&DAB transformers, planar transformers, resonant inductors, PFC inductors, EMI inductors, and other categories.
2. Necessity of Project Implementation
(1) Responding to the Upward Trend of Downstream Growth, Strengthening Layout in Computing Power Magnetic Components
The large-scale deployment of data centers has created a rigid demand for high-efficiency power supply and distribution systems. Magnetic components, as core devices for power system energy conversion, filtering, and voltage stabilization, directly determine the power supply efficiency and system reliability of data centers. Driven by multiple industry factors, the magnetic component industry is entering a period of high prosperity. In response to the power supply and distribution technology revolution driven by computing power infrastructure, the company has accurately grasped the industry development trend and proactively laid out high-power-density transformers and high-frequency low-loss power inductors for AI computing power magnetic components. Through the construction of this project, the company will further improve its product portfolio in the AI computing power field, strengthen its R&D and market delivery capabilities in high-growth sectors, and consolidate and enhance its core competitive advantages.
(2) Expanding Production Capacity to Meet Downstream Market Demand
