I. Basic Situation of Related Party Transaction
- Related Transaction Matter
In accordance with the needs of the company's modified plastics business development and operation, to avoid peer competition and reduce the company's construction cost expenditure, and to facilitate the faster progress of the company's subsequent project construction, the company's related party, Fujian Yuan Zhong Yuan Technology Co., Ltd. (hereinafter referred to as "Yuan Zhong Yuan"), intends to sign a "Donation Agreement" with the company, gratuitously donating the equipment assets it holds for modified plastics production to the company. The company will not pay any consideration and there are no attached obligations.
- Explanation of Related Party Relationship
Fujian Yuan Zhong Yuan Technology Co., Ltd. is jointly controlled by the company's actual controllers, Weng Shengjin and He Cong, a couple. According to Article 6.3.3 of the "Listing Rules of Shenzhen Stock Exchange", this company is a related legal person of the company. Therefore, the acceptance of the donated assets constitutes a related party transaction.
- Review Procedures and Voting Situation of Related Party Transaction
The Company held the second meeting of the tenth Board of Directors on August 7, 2026, and approved the "Proposal on Accepting Gratuitous Donation of Assets from Related Party and Related Party Transaction". Related directors have recused themselves from voting on this proposal. The aforementioned proposal has been reviewed and approved by the tenth Board of Directors' Audit Committee at its second meeting in 2026, and by the Independent Directors' Special Meeting at its first meeting in 2026. All independent directors unanimously agreed to submit this matter to the Board of Directors for deliberation. This related party transaction does not need to be submitted to the shareholders' meeting for deliberation.
