I. Overview of Agreement Signing
To deeply promote the reform of state-owned enterprises and the high-quality development of the capital market, and to encourage high-quality development of all parties through resource integration, all parties have agreed to integrate their respective advantageous resources. Under the premise of meeting their respective development needs and complying with laws and regulations, they will carry out mutually beneficial cooperation in their respective high-quality business areas, enhance the core competitiveness of all parties, create synergistic value, and achieve a win-win situation for all parties. Recently, Guangdong Wenke Green Technology Co., Ltd. (hereinafter referred to as the "Company" or "Party E") has signed the "Five-Party Strategic Cooperation Agreement" with Foshan Construction Development Group Co., Ltd. (hereinafter referred to as "Foshan Construction Development"), Foshan Transportation Investment Group Co., Ltd., Foshan Airport Construction and Development Co., Ltd., and Foshan Investment Holding Group Co., Ltd.
According to the "Stock Listing Rules of Shenzhen Stock Exchange," Foshan Construction Development is the controlling shareholder of the Company. The signing of the strategic cooperation agreement constitutes a related party transaction. However, as the agreement signed this time is a framework agreement, it does not constitute the substance of a related party transaction. This matter does not require submission to the Company's Board of Directors and Shareholders' Meeting for deliberation, nor does it constitute a major asset restructuring as stipulated in the "Measures for Major Asset Restructuring of Listed Companies." This cooperation does not involve specific amounts. Subsequent specific project cooperation agreements will be signed for specific projects.
