Statement
CITIC Securities Company Limited (hereinafter "CITIC Securities" or "Sponsor") has been engaged by Sunrise Group Company Limited (hereinafter "Sunrise Group," "Issuer," or "Company") to act as the sponsor for its 2025 annual issuance of A-shares to specific targets.
CITIC Securities and its sponsoring representatives have acted in accordance with the Company Law of the People's Republic of China, the Securities Law of the People's Republic of China, the Administrative Measures for the Registration of Securities Issuance by Listed Companies, the Administrative Measures for the Business of Sponsorship for the Issuance and Listing of Securities, and other relevant laws, regulations, and provisions of the China Securities Regulatory Commission (CSRC) and the Shenzhen Stock Exchange (SZSE). We have acted with honesty, trustworthiness, and due diligence, and have issued this sponsorship letter in strict accordance with legally formulated business rules, industry practice standards, and ethical codes, ensuring the truthfulness, accuracy, and completeness of the documents issued. If the documents prepared and issued by the Sponsor for this issuance contain false records, misleading statements, or major omissions, causing losses to investors, the Sponsor will compensate investors for their losses in accordance with the law.
In this sponsorship letter, unless the context otherwise requires, terms used have the same meanings as defined in the "Sunrise Group Company Limited 2025 Annual Issuance of A-Shares to Specific Targets Prospectus (Declaration Draft)."

Hu Xuan: Male, sponsoring representative, currently Director of the Investment Banking Management Committee of CITIC Securities. He has been responsible for or participated in projects including the public issuance of convertible bonds for Guangzhou Baiyun Electrical Equipment Co., Ltd. (Main Board), private placement for Wanxiang Qianchao Co., Ltd. (Main Board), private placement for Guangzhou JieSai Technologies Co., Ltd. (SME Board), and the IPO for Weiteng Electric Group Co., Ltd. (STAR Market). He strictly complies with the "Administrative Measures for the Business of Sponsorship for the Issuance and Listing of Securities" and has a good professional record.
