Beijing Tianda Law Firm (hereinafter referred to as "this Firm") has been entrusted by Ciming Health Checkup Management Group Co., Ltd. (hereinafter referred to as "the Company" or "the Issuer") to act as the special legal advisor for the Company's initial public offering of common stock (hereinafter referred to as "this Offering" or "this IPO").
Xinyong Zhonghe Certified Public Accountants (Special General Partnership) (hereinafter referred to as "Xinyong Zhonghe") previously issued Audit Report No. XYZH/2013A9004, which conducted an audit of the Issuer's financial statements as of June 30, 2013. The lawyers of this Firm issued Supplementary Legal Opinion (Fifteen) regarding significant matters during the audit period. Xinyong Zhonghe has now audited the Issuer's financial statements up to September 30, 2013 (the period between the two audit cut-off dates is referred to as the "Supplementary Audit Period") and issued Audit Report No. XYZH/2013A9044 (unless otherwise specified, "Audit Report" in this supplementary legal opinion refers to Audit Report No. XYZH/2013A9044).
The lawyers of this Firm have conducted a prudent review of whether there are any circumstances affecting the application for this IPO from the date of signing Supplementary Legal Opinion (Fifteen) to the date of signing this supplementary legal opinion (this period is referred to as the "Supplementary Review Period"). They have also reviewed matters related to this IPO in accordance with the "Opinions of the China Securities Regulatory Commission on Further Promoting the Reform of the New Stock Issuance System" and the "Interim Provisions on the Public Sale of Shares by Company Shareholders during Initial Public Offerings." Based on the review results, this supplementary legal opinion is issued.
