I. Overview of Raised Funds from Public Offering of Convertible Bonds in 2022
With the approval of the China Securities Regulatory Commission's (CSRC) "Securities Regulatory Permission [2022] No. 1883" and the consent of the Shenzhen Stock Exchange, the Company was approved to publicly issue 34,105,000 A-share convertible corporate bonds. Each bond has a face value of RMB 100, with a total issuance of RMB 3,410,500,000. The total raised funds amounted to RMB 3,410,500,000. After deducting issuance expenses, the net raised funds were RMB 3,395,079,452.82. The net raised funds have been verified by the "Capital Verification Report" issued by ZhiTong Certified Public Accountants (Special General Partnership) (ZhiTong Verification [2022] No. 110C000572). The Company has implemented a special account system for the raised funds.

Note 1: The Company has held the 11th meeting of the Sixth Board of Directors, the 8th meeting of the Sixth Supervisory Board, and the 7th extraordinary general meeting of shareholders in 2023, and has deliberated and approved the "Proposal on Terminating Some Fundraising Projects and Permanently Supplementing Working Capital with Surplus Raised Funds." The fundraising projects "152,000 tons/year Lithium Battery New Materials Project," "20,000 tons/year Lithium bis(fluorosulfonyl)imide Project," and "60,000 tons/year Daily Chemical Basic Materials Project (Phase I)" have been terminated, and the surplus raised funds will be permanently supplemented to working capital.
Note 2: The Company has held the 24th meeting of the Sixth Board of Directors, the 19th meeting of the Sixth Supervisory Board, and the 2nd extraordinary general meeting of shareholders in 2024, and has deliberated and approved the "Proposal on Terminating Some Fundraising Projects and Permanently Supplementing Working Capital with Surplus Raised Funds." The fundraising project "62,000 tons/year Electrolyte Basic Materials Project" has been terminated, and the surplus raised funds will be permanently supplemented to working capital.
