Guangzhou Tianci High-Tech Materials Co., Ltd. (hereinafter referred to as the "Company") held the Fourth Meeting of the Seventh Board of Directors on July 3, 2026, and reviewed and approved the "Proposal on the Termination of the Project for the Production of 243,000 Tons of Lithium Battery and Fluorine-Containing New Materials by Nantong Tianci." It was agreed to terminate the project by Nantong Tianci. The announcement is as follows:
I. Project Overview
(1) Guangzhou Tianci High-Tech Materials Co., Ltd. (hereinafter referred to as the "Company") held the Seventeenth Meeting of the Fifth Board of Directors and the Twelfth Meeting of the Fifth Supervisory Board on August 20, 2021, and the 2021 Second Extraordinary General Meeting of Shareholders on September 13, 2021. The proposal "Proposal on Investment and Construction of the Project for the Production of 350,000 Tons of Lithium Battery and Fluorine-Containing New Materials (Phase I)" was reviewed and approved. It was agreed that the Company's wholly-owned subsidiary Tianci Materials (Nantong) Co., Ltd. (hereinafter referred to as "Nantong Tianci") would use its own funds to invest in the construction of the project for the production of 350,000 tons of lithium battery and fluorine-containing new materials (Phase I). The total investment for Phase I of the project is RMB 1,765.7175 million, of which the construction investment is RMB 107,256.12 million and the initial working capital is RMB 69,315.63 million. The Company may make appropriate adjustments to the specific project investment content and detailed expenses within the total investment amount based on the actual implementation of the project.
